Terms & Conditions

These Terms & Conditions ("Terms") constitute a legally binding agreement between you and EVENTVIDIA INC, doing business as EventVidia ("we", "us", "our"), governing your use of the EventVidia platform, website (https://eventvidia.com), and any associated mobile applications (collectively, the "Service").

By creating an account or using any part of our Service, you confirm that:

• You are at least 18 years of age (or 13 with parental consent)
• You have the legal capacity to enter into this agreement
• You will comply with all applicable laws and regulations
• All information you provide is accurate and up to date

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

• You must notify us immediately of any unauthorised use of your account
• You may not share your account with others or create accounts on behalf of others without their consent
• You may not create multiple accounts to circumvent restrictions or subscription limits
• We reserve the right to suspend or terminate accounts that violate these Terms

You can delete your account at any time from Settings. Upon deletion, your data will be removed within 30 days subject to our data retention obligations.

EventVidia provides a platform for:

• Planning and managing events of all types
• Managing guest lists, RSVPs, and communications
• Discovering and connecting with event vendors
• Creating and sending digital invitations
• Scheduling calls and managing event timelines
• Budgeting and document management

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will not be liable for any modification, suspension, or discontinuation.

EventVidia operates a marketplace where independent vendors ("Vendors") list their services. Important terms:

• We are a platform, not a vendor. EventVidia is not a party to any agreement between you and a Vendor. We do not employ, endorse, or guarantee any Vendor.
• Vendor responsibility: Vendors are solely responsible for the accuracy of their listings, the quality of their services, and fulfilment of their commitments.
• Disputes: Any disputes between you and a Vendor must be resolved directly between the parties. EventVidia may, at its discretion, assist in dispute resolution but is under no obligation to do so.
• Vendor listings: We reserve the right to remove any Vendor listing that violates our policies or community standards without notice.
• No guarantee of availability: Vendor availability, pricing, and services are subject to change without notice.

Subscription plans:

• EventVidia offers free and paid subscription tiers. Current pricing is available at /pricing
• Paid subscriptions are billed monthly or annually in advance
• Prices are shown in USD and may be subject to applicable taxes

Cancellation & Refunds:

• You may cancel your subscription at any time from Settings → Billing
• On cancellation, you retain access until the end of your current billing period
• We offer a 7-day money-back guarantee for first-time paid subscriptions
• After 7 days, subscription fees are non-refundable except where required by law
• Refund requests should be submitted to legal@eventvidia.com

Payment processing:

• Payments are processed by Stripe. By subscribing, you also agree to Stripe's Terms of Service
• We do not store your card details — all payment data is handled by Stripe
• Failed payments may result in suspension of paid features

You retain full ownership of all content you upload to EventVidia, including event details, guest lists, documents, and images ("Your Content").

By uploading content, you grant EventVidia a limited, non-exclusive, royalty-free licence to store, display, and process Your Content solely for the purpose of providing the Service to you. We will never use your event data or guest information for advertising or sell it to third parties.

You are responsible for ensuring:

• You have the right to share any content you upload (guest data, images, documents)
• Your content does not violate any third-party rights or applicable laws
• You have obtained consent from guests before uploading their personal information

You agree not to use EventVidia to:

• Violate any applicable local, national, or international laws or regulations
• Send spam, unsolicited communications, or harassment to guests or vendors
• Impersonate any person or entity or misrepresent your affiliation
• Upload malicious code, viruses, or any software that could harm our systems or users
• Scrape, crawl, or extract data from the platform without written permission
• Attempt to gain unauthorised access to any part of the Service or other users' accounts
• Use the platform for illegal activities, including fraud, money laundering, or trafficking
• Resell or sublicense the Service without our written consent
• Reverse engineer, decompile, or disassemble any part of the Service
• Collect or harvest personal data of other users without consent

Violation of these prohibitions may result in immediate account termination and, where applicable, legal action.

To the fullest extent permitted by law, EventVidia and its officers, directors, employees, and agents shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, goodwill, or business opportunities
• Damages arising from your use or inability to use the Service
• Actions or omissions of vendors listed on our marketplace
• Unauthorised access to or alteration of your data

In jurisdictions that do not allow limitation of liability for consequential or incidental damages, our liability is limited to the maximum extent permitted by law.

Our total aggregate liability to you for any claims arising under these Terms shall not exceed the amount you paid to EventVidia in the 12 months preceding the claim, or $100, whichever is greater.

The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to:

• Warranties of merchantability or fitness for a particular purpose
• Uninterrupted, error-free, or secure operation of the Service
• Accuracy or completeness of vendor listings or reviews
• That the Service will meet your specific requirements

We do not warrant or guarantee the quality, suitability, or legality of any vendor service listed on our marketplace.

Either party may terminate this agreement at any time.

• By you: Delete your account from Settings at any time
• By us: We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or if we are required to do so by law
• Upon termination, your right to use the Service ceases immediately
• Provisions of these Terms that by their nature should survive termination will remain in effect, including Sections 6, 8, 9, and 11

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware. If you are a consumer in the EU or UK, you may also have rights under your local consumer protection laws.

For disputes under $10,000, either party may elect binding arbitration through the American Arbitration Association in lieu of court proceedings.

Arbitration & Class Action Waiver

For users in the United States, any dispute, claim, or controversy arising out of or relating to these Terms or the use of EventVidia shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court.

• Arbitration will be conducted in English on a remote/virtual basis
• Each party bears its own arbitration costs; AAA filing fees are split equally
• Class action waiver: You agree to resolve disputes individually. You waive any right to participate in a class action lawsuit or class-wide arbitration
• This arbitration clause does not apply to claims for injunctive relief or intellectual property disputes
• You may opt out of this arbitration clause within 30 days of account creation by emailing legal@eventvidia.com with "Arbitration Opt-Out" in the subject line

California Residents — Additional Rights

• Under California Civil Code §1789.3, California users may report complaints to the Complaint Assistance Unit of the Division of Consumer Services, California Department of Consumer Affairs
• California's "Shine the Light" law permits California residents to request information about disclosure of personal data to third parties for direct marketing — we do not disclose personal data for such purposes
• California Business & Professions Code §17200 (Unfair Competition Law) rights are preserved; the arbitration waiver does not affect these rights

New York Residents

• Under New York General Business Law §349, deceptive acts in consumer transactions are unlawful — our pricing and subscription terms are clearly disclosed at /pricing
• Automatic subscription renewals are disclosed clearly during sign-up and in billing emails prior to each renewal

Auto-Renewal Disclosure (All US States)

In compliance with auto-renewal laws across US states:

• Paid subscriptions automatically renew at the end of each billing period
• The renewal charge amount and frequency are displayed at sign-up and in your account settings
• We send a renewal reminder email at least 7 days before annual subscriptions renew
• You may cancel auto-renewal at any time from Settings → Billing with no penalty

Electronic Communications (E-SIGN Act)

By creating an account, you consent to receive communications from EventVidia electronically. Electronic agreements and disclosures have the same legal effect as written paper agreements. You may withdraw this consent by closing your account.

Consumer Protection Act, 2019

EventVidia complies with the Consumer Protection Act 2019 and the Consumer Protection (E-Commerce) Rules, 2020 for users in India:

• We display all prices clearly, inclusive of applicable taxes (GST where applicable)
• We do not engage in misleading advertisements or unfair trade practices
• Product descriptions and features accurately represent the Service
• We maintain a dedicated grievance redressal mechanism for Indian consumers (see below)
• Subscription terms, cancellation policy, and refund eligibility are disclosed before payment

Refund Policy — India

• Users in India are entitled to a 7-day cooling-off period for first-time paid subscriptions, in addition to any rights under the Consumer Protection Act
• Refund requests must be submitted to support@eventvidia.com within 7 days of payment
• Approved refunds are processed within 5–7 business days to the original payment method
• GST paid is non-refundable as per applicable tax laws

Information Technology Act, 2000

EventVidia complies with the Information Technology Act, 2000 and its amendments:

• We do not host, publish, or transmit any information that is unlawful under Section 67 of the IT Act
• We cooperate with lawful orders from Indian government authorities and courts
• We comply with the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 as applicable to our platform
• We will act on valid takedown requests within 36 hours for critical content and 15 days for other content

Governing Law — India

For users in India, disputes may also be governed by Indian law. Indian users may choose to resolve disputes through:

• Our internal grievance redressal process (see below) — mandatory first step
• The National Consumer Disputes Redressal Commission (NCDRC) or appropriate State/District Consumer Forum
• Online dispute resolution via the Consumer Online Resource and Empowerment (CORE) Centre

Grievance Officer — India

In compliance with the IT Act and Consumer Protection Act, we have designated a Grievance Officer for India:

GST & Taxation

• Subscription fees for users in India may attract Goods and Services Tax (GST) at applicable rates
• GST, if applicable, will be displayed separately at checkout
• EventVidia will issue GST-compliant invoices upon request for B2B subscribers
• Users are responsible for any local taxes applicable in their jurisdiction beyond GST

Currency & Payments — India

• Payments may be made in INR (₹) where available, or USD ($)
• We accept UPI, debit/credit cards, and net banking via our payment processor
• All cross-border payments comply with RBI (Reserve Bank of India) Foreign Exchange Management Act (FEMA) guidelines

We may update these Terms at any time. When we make material changes, we will:

• Email you at least 14 days before the changes take effect
• Display a notice in the app
• Update the "Last updated" date at the top of this page

Your continued use of EventVidia after changes take effect constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Service and delete your account.
